envelos End User Licence Agreement

 

Please read these terms and conditions for the use of envelos. By clicking 'I accept' you agree to the following terms:

 

1.    Licence: envelos is a trade name owned by Dialogue Communications Limited, UK Registered Company number 3042634 (Dialogue). Dialogue licences you to use envelos for peaceful, legal and ethical purposes only.

 

2.    Service charges: When you use envelos you are making use of Dialogue's messaging services. Fees for these services are as stated within envelos. They are paid in advance and for UK customers are inclusive of UK sales tax (VAT). Messages purchased are available for use for 12 months from the date of purchase. Free messages are available for use for 1 month from the date they are allocated to you.

 

3.    Regulations: envelos is an electronic messaging product and as such is covered by specific legislation, regulations and codes of practice related to the sending of electronic messages. In general if your messages are of a commercial nature, then you need to ensure that you have obtained sufficient consent from the recipients of the messages you send. You also need to identify yourself and to provide a means whereby recipients can opt-out from receiving further messages. You acknowledge your responsibility for understanding and applying the necessary rules and procedures for the use of electronic messaging in the region where you use envelos. 4.    Copyright restrictions: envelos contains copyrighted material you may not copy, reverse engineer or create derivative works based on the application in whole or in part. Also, you may not give information to others, including login credentials, that enable them to breach this copyright.

 

5.    Warranty: You expressly acknowledge and agree that use of envelos is at your sole risk. The application and related documentation are provided 'AS IS' and without warranty of any kind.

 

6.    Termination: Dialogue reserves the right to terminate your envelos account where your use of envelos results in complaints or regulatory investigations. If the termination is as a result of a breach of this agreement, then Dialogue is not obliged to refund the cost of any unused services that have been prepaid. If you terminate your envelos account you will not be entitled to any refund. If you believe that there was a failure on Dialogue's behalf then Dialogue may use its discretion to refund some or all of the balance as a gesture of goodwill.

 

7.    Modifications: Dialogue reserves the right to upgrade envelos with new features at its sole discretion. Any scheduled or emergency maintenance of the platform may result in downtime which Dialogue will endeavour to keep to a minimum.

 

8.    Contact: You accept that Dialogue may contact you for marketing purposes.

 

9.    You expressly agree to indemnify Dialogue against any claims and costs, including legal fees, arising out of your use of envelos.

 

10.  Limitation of Liability. Under no circumstances, including negligence, shall Dialogue or any of its employees be liable for any incidental, special or consequential damages that result form the use or inability to use envelos.

 

11.  In no event shall the total liability of Dialogue to you for all damages, losses, and causes of action (whether in contract, tort (including negligence) or otherwise) exceed the amount paid by you for the use of envelos.

 

12.  Controlling Law and Severability. This Licence shall be governed by and construed in accordance with the laws of England. If for any reason a court or competent jurisdiction finds any provision of this Licence, or portion thereof, to be unenforceable, that provision of the Licence shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Licence shall continue in full force and effect.
